The ground rules.

By using Byway’s web app, mobile apps, or services (“Byway”), you agree to these terms. If you don’t, please don’t use Byway. The company is Byway Technologies LLC, a Delaware limited liability company.

• You must be 13 or older to create an account.
• Keep your login credentials secure. You’re responsible for activity on your account.
• One person per account (family/group plans allow multiple seats — one person each).

You agree not to:

• Break any law while using Byway.
• Scrape, resell, or re-distribute Byway content without permission.
• Publish content that’s illegal, harassing, deceptive, or infringes someone else’s rights.
• Reverse-engineer the AI, routing engine, or narration pipeline.
• Use Byway to plan anything reckless. Drive safely. Obey traffic laws. Don’t stare at your phone.

Everything you create — journeys, notes, voice recordings, photos, published itineraries — stays yours. By publishing to the marketplace, you grant Byway a non-exclusive license to display, distribute, and promote it inside Byway and in related marketing. You can revoke the license by unpublishing any time.

• Paid plans renew automatically at the end of each billing cycle unless you cancel.
• Cancel any time from your account. Access runs through the end of the already-paid period. We don’t refund partial months.
• Founding Member is a one-time payment. It’s non- refundable after 7 days.
• Prices can change — we’ll give at least 30 days notice before any change affects you.

• Creators earn a 70% share of net revenue from their published itineraries. Byway retains 30% as a platform fee.
• Payouts are processed monthly via Stripe Connect.
• Creators are responsible for their own taxes and local compliance.
• Content that infringes rights, promotes fraud, or violates our acceptable-use policy will be taken down.

Byway uses AI to generate routes and narration. We work hard to ground everything in verified data, but AI output can still be imperfect or out of date. Always use your own judgment on the road. Byway is a companion, not a safety-critical navigation authority — follow local rules and your own common sense.

We aim for continuous uptime but can’t promise it. Maintenance and outages happen. Byway is provided “as is” — we disclaim implied warranties to the fullest extent the law allows.

To the fullest extent allowed by law, Byway’s total liability for any claim is capped at the amount you paid in the 12 months before the claim (or $100 if you didn’t pay anything).

You can delete your account any time from the app. We can suspend or terminate accounts that break these terms. On termination, we delete your data per our Privacy Policy.

These terms are governed by the laws of the State of Delaware. Disputes will be resolved in Delaware courts unless mandatory law in your country says otherwise.

The investor-facing pages at /investors are governed by the securities-law disclaimers published on those pages and by the risk factors document.

Completing the investor-access attestation form or otherwise requesting investor materials creates no legal obligation on either party. You are not purchasing, subscribing for, or reserving any security by submitting that form.

No offer to sell, and no solicitation of an offer to buy, any security of Byway Technologies (or its successor Delaware corporation) is made until a definitive subscription agreement — in a form acceptable to the company — has been executed by both parties.
